Venture Building & Scaling

Some technologies deserve to become their own company. They originate in corporate R&D labs or research institutions, have genuine breakthrough potential, and can unlock venture-scale markets. But they’ll never get there inside the organization that created them.

mantro builds these technologies into independent companies. We structure the carve-out, develop the venture thesis, identify and assemble the founding team, prepare the fundraise, and co-invest directly. The technology source retains an equity stake. The venture scales independently with external capital.

This is what makes mantro structurally different: we don’t just build ventures β€” we invest in them. We can lead the first round. That closes the gap between venture building and venture financing that every other model leaves open. As investors ourselves, we bring syndication access: warm introductions to our peer network of VCs, not cold emails.

How it works: 2 phases

  1. Venture Readiness (~20–24 weeks)

    The goal is to transform a technology into an investable venture thesis.

    • IP maturity analysis and technology readiness assessment
    • Commercialization pathway mapping β€” identifying the highest-value first market
    • Investor narrative development and sounding with target investors
    • Founding team identification and matching
    • Ownership, licensing, and incentive structure design
    • Legal carve-out preparation

    Phase 1 is funded by the technology source. mantro co-invests 50% from day one in the pre-founding phase β€” putting skin in the game from the start.

    The venture becomes real.

    • Incorporate the venture entity
    • Execute IP licensing and transfer
    • Finalize fundraising with engaged investors
    • Complete cap table and shareholder structure
    • Launch the venture with the founding team
    • Establish governance

    Phase 2 is funded by mantro's own capital commitment and external co-investors.
